Terms of Service
These Terms of Service (the “Terms”) govern your access to and use of DealDesk, a commercial real estate workflow tool operated by Andrew Frame as a sole proprietorship (“DealDesk,” “we,” “us”). By signing up or using the service, you agree to these Terms.
1. The service
DealDesk provides web-based tools for commercial real estate brokers and professionals, including lease abstraction, letter-of-intent drafting, financial modeling, comps, commission tracking, deal pipeline, and optional Gmail integration for sending correspondence. We may add, remove, or change features over time.
2. Eligibility and accounts
You must be at least 18 years old and have the legal capacity to enter a binding contract to use DealDesk. You are responsible for the accuracy of the information you provide when registering, for safeguarding your login credentials, and for all activity that occurs under your account. Let us know right away if you suspect unauthorized access.
3. Acceptable use
You agree not to:
- Upload content you don’t have the right to use, or content that infringes someone else’s intellectual property, privacy, or confidentiality rights.
- Use DealDesk to send spam, phishing messages, or any unsolicited commercial email in violation of CAN-SPAM or similar laws.
- Attempt to reverse engineer, scrape, or otherwise circumvent the security of the service.
- Probe or test the vulnerability of the service or interfere with other users’ access.
- Use the service to build a competing product by copying its features or output.
4. Your content
You retain ownership of the documents, photos, and other content you upload to DealDesk (“Your Content”). By uploading Your Content, you grant DealDesk a limited, worldwide, non-exclusive license to host, process, display, and transmit Your Content solely for the purpose of providing the service to you, including passing the content to AI model providers (Anthropic, AWS Bedrock, Google Vertex) to generate the outputs you request.
You are solely responsible for ensuring you have the right to upload Your Content. If a lease is confidential or subject to non-disclosure obligations, you are responsible for confirming your counterparty permits tools like DealDesk.
5. AI-generated output
DealDesk uses large language models to produce lease abstracts, LOI drafts, risk reviews, financial model scaffolding, and similar outputs. These outputs are probabilistic and may contain errors, omissions, or fabricated details. AI-generated output is not legal advice, financial advice, tax advice, or a substitute for review by a qualified professional. You are responsible for reviewing every output before relying on it, signing it, sending it to a counterparty, or acting on it.
6. Third-party integrations
DealDesk integrates with third-party services including Google (OAuth and Gmail). Your use of those services is governed by their respective terms. When you connect Gmail, you authorize DealDesk to send email from your account solely under the gmail.send scope and only for emails you explicitly compose and approve. You can revoke access at any time.
7. Fees and billing
DealDesk is offered on monthly subscription plans (currently Free, Solo, Team, and Firm) described on the pricing page. Paid plans are billed in advance each month through our payment processor (Stripe). Annual prepay options, when offered, are billed in advance for the full term. Subscriptions renew automatically until cancelled.
You can cancel any time from Settings. On cancellation, paid features remain available through the end of the current billing period; we do not pro-rate refunds for partial months except where required by law. If we materially raise the price of your plan, we’ll notify you at least 30 days before the change takes effect, and you may cancel before the change applies. Failed payments may result in downgrade to the Free tier or, after notice, suspension. Taxes are your responsibility unless we are required by law to collect them.
8. Our intellectual property
The DealDesk software, brand, design, and documentation are owned by DealDesk. These Terms do not grant you any license to our intellectual property other than the right to use the service as described.
9. Termination
You can close your account at any time from Settings or by emailing us. We may suspend or terminate your access if you materially breach these Terms, if we’re required to by law, or if continuing to provide you the service creates substantial risk to other users. When your account is terminated, we’ll retain and delete your data as described in the Privacy Policy.
10. Disclaimers
Please read this section carefully.
DealDesk is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that AI-generated outputs will be accurate, complete, or suitable for any particular use. Your use of the service is at your own risk.
11. Limitation of liability
To the maximum extent permitted by law, DealDesk and its operator will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, goodwill, or other intangible losses, resulting from your use of or inability to use the service. DealDesk’s total aggregate liability for any claim arising out of or relating to these Terms or the service will not exceed the greater of one hundred US dollars ($100) or the amount you paid to DealDesk in the twelve months preceding the claim.
12. Indemnification
You agree to indemnify and hold harmless DealDesk and its operator from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the service, Your Content, or your violation of these Terms or any applicable law.
13. Governing law and disputes
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the service will be brought exclusively in the state or federal courts located in San Francisco County, California, and you consent to personal jurisdiction there. If you are a consumer in a jurisdiction with mandatory local law, nothing in this section deprives you of protections that cannot be waived.
14. Changes to these Terms
We may update these Terms from time to time. If a change is material, we’ll give you advance notice by email or in-app. Your continued use of the service after the change takes effect means you accept the revised Terms.
